Special Resolution A: Bylaws

REFERENCES

Existing UNA Members received an SGM package in the mail by the second week of September 2020. This package contained a personalized proxy form and a UNA SGM Booklet with instructions on how to vote and a guide to the proposed changes to the UNA Bylaws and Constitution. New UNA Members were able to request SGM packages online and receive them in person prior to the SGM date.

Purpose of the SGM

The UNA Board proposed that the previous UNA Bylaws and UNA Constitution be replaced with a new set of Bylaws and Constitution.

The Bylaws contain detailed rules for the internal functioning of the UNA, while the Constitution sets out in general terms the UNA’s purposes as a society.

There will be two special resolutions to vote on.

  1. BYLAWS: The first vote was to approve the replacement of the current Bylaws with the proposed Bylaws. Approval of the proposed Bylaws required that at least two thirds of UNA members who vote, vote in favour of the proposed Bylaws.

  2. CONSTITUTION: The second vote was to approve the replacement of the current Constitution with the proposed Constitution. Approval of the proposed Constitution required that at least two thirds of UNA members who vote, vote in favour of the proposed Constitution.

Due to restrictions on community gatherings and to support physical distancing during the COVID-19 pandemic, the Minister of Public Safety and Solicitor General for the Province of British Columbia has issued Order No. 116, Electronic Attendance at Corporate Meetings, permitting individuals to attend corporate meetings by telephone or other communications medium.

As such, the SGM was convened through video conference (Zoom). UNA Members recieved a link to join the virtual SGM through their email addresses on file with the UNA. Members voted on the special resolutions either online or by proxy (appointed proxy holders voted by paper ballot at the SGM).

How to Vote

Voting is now closed.

A member is entitled to vote if the member (a) is over the age of 18; (b) has been a resident of British Columbia for at least six months immediately prior to the meeting; and (c) has been a resident in Chancellor Place, Hawthorn Place, Hampton Place, Wesbrook Place or East Campus for at least 30 days immediately prior to the meeting.

UNA Members were able to choose to vote on the special resolutions ONLINE or BY PROXY. Appointed proxy holders voted by paper ballot at the SGM. Full details and translations on the voting process can be found here: UNA SGM Booklet


Online

UNA Members recieved an email containing a voting link and secure authentication credentials through their valid email addresses on file with the UNA.

By Proxy

UNA Members were able to vote by proxy using the proxy form they recieved in the mail. If you were a new UNA Member, you could make an appointment at the Wesbrook Community Centre to pick up a proxy form by emailing reception@myuna.ca.

In order to cast your proxy vote at the SGM, you must have completed and signed the proxy form. To help facilitate the voting process safely during the COVID-19 pandemic, the UNA outlined recommendations for submitting proxy forms on the document below.

Guide to the Proposed UNA Bylaws and Constitution

The Guide to the Proposed UNA Bylaws and Constitution outlines, in general terms, the principal substantive changes that will now be made due to the proposed Bylaws and the proposed Constitution being approved. In addition, the proposed Bylaws and proposed Constitution incorporate many detailed technical changes, eliminate inconsistencies, correct errors and improve wording.

  • Can I attend the SGM in person?

    No, you may not. For your safety during the COVID-19 pandemic, we ask that you please attend the meeting online. Members are asked to vote online or by proxy.

    A virtual town hall with the UNA Board of Directors is scheduled for September 23, 2020 from 7 to 8 p.m. by video conference (Zoom). This town hall meeting is open to UNA Members only. UNA Members will receive a link to join the virtual town hall meeting through their email addresses on file with the UNA.

  • Am I entitled to vote?

Apply Online to Become a UNA Member

UNA residents are now able to apply online for a UNA Membership through our new UNA Application Process. Applying for a UNA Membership allows eligible residents to vote during Annual General Meetings, Special General Meetings and UNA Board of Directors elections. UNA residents ages 18 or older are eligible to apply for a UNA Membership.
